End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "User") and Wang Pengchong (operating as Jaade) ("we", "us", or "Licensor") for the Jaade desktop application and any associated documentation and updates.

By downloading, installing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, free of charge, for your own personal or internal business use.

2. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you except as expressly set out in this Agreement.

3. Restrictions

You may not:

• copy, modify, or create derivative works of the Software, except as permitted by applicable open-source license terms for individual components;
• reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
• rent, lease, lend, sell, sublicense, or otherwise transfer the Software;
• remove or alter any proprietary notices;
• use the Software to develop a competing product, including using any output to train artificial intelligence models that compete with the Software;
• use the Software for any unlawful purpose, or to build or operate high-risk systems where failure could lead to death, personal injury, or environmental damage (e.g., life support, autonomous vehicles, critical infrastructure).

4. Agent Execution — Your Responsibility

The Software runs AI coding agents that can execute commands, run terminals, read and modify files, and call third-party AI services on your behalf. You are solely responsible for reviewing and authorizing the actions the agents take, for any code or commands they execute, and for any resulting changes to your systems, files, or data. We recommend using version control and backups.

5. Third-Party Services and Components

The Software integrates third-party services (including AI providers such as Anthropic and OpenCode) and incorporates third-party open-source components. Your use of those services is governed by their own terms and privacy policies, and you are responsible for any accounts, API keys, and fees associated with them. Third-party open-source components remain under their respective licenses.

The Software can collect anonymous usage and crash-reporting telemetry (processed by PostHog and Sentry) to help us improve it. This is off by default and can be enabled or disabled at any time in Settings → Privacy. What is and isn't collected, and how to opt in or opt out, is described in the Privacy Notice (https://jaade.app/privacy).

6. Updates

The Software may check for and install updates automatically. This Agreement governs all updates unless an update is accompanied by a separate agreement.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT AGENT OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE THE SOFTWARE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED USD 100.

9. Termination

This Agreement is effective until terminated. It terminates automatically if you breach it. Upon termination, you must stop using the Software and delete all copies. Sections 2, 3, 7, 8, and 10 survive termination.

10. Governing Law

This Agreement is governed by the laws of Hong Kong, without regard to its conflict-of-laws rules. The courts of Hong Kong have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.
